Music law Assignment Year 2 Hadley vs. Kemp Corporate legal structure The band involved in this case Spandau Ballet had a corporate legal structure. Initially all the band members were employed by Marbelow ltd with all five artists and their manager Mr. Dagger owning equal shares, making them all directors. The artists were exclusively employed by Marbelow for five years to provide performing and recording services in return for salaries and bonuses. Later each member became employed by their own separate services company which provided services for Marbelow. This shows them to be effectively employed as "session" musicians. In addition Gary Kemp as songwriter held full shares in his own company REFORMATION and employed Mr. Dagger as co director. Reformation provided services to Marbelow in the form of composition and songwriting.
