By Table A, Articles 82, the directors may exercise all powers of the company not required by the ordinance or the articles to be exercised by the company in general meeting. Also, if the directors act within the powers given to them by Art 82 (or by some similar article), the courts have generally upheld the view that the directors are not bound to obey resolutions passed by shareholders at a general meeting.
